Your 2022 Phantom Sharesave is complete!
Now it's time to take some action and see what it could be worth.
In 2022, you were granted a Phantom Option linked to Flutter's share price. At that time, an option price was set at €96.98 per share, which was 25% lower than the market price.
Since then, Flutter's share price has increased. If the share price remains higher than the option price when you submit your instruction, you'll receive a cash payment based on the difference!
As our share price can go up or down, you'll need to decide when the right time is for you. You'll have a two-month window – starting on 1 February 2026 – to make your decision.

What happens next
Submit your instruction during the decision window
You'll need to take action between 2 February 2026 and 22:59 pm (UK Time) 31 March 2026.
This is also called exercising your option. In simple terms, it means choosing to take any cash payment you're entitled to.
Your cash amount is calculated
On the date your instruction is processed, the Flutter share price is compared with your fixed option price of €96.98 per share.
If the share price is higher, you'll receive a cash payment based on the difference. If the share price is lower, no cash payment will be due.
Receive any cash payment due
If a cash payment is due, it will be processed through payroll within 4 - 6 weeks of the date that your instruction is processed.
Important information – don't lose your Phantom Option!
If you don't submit your instruction by 22:59pm (UK Time) 31 March 2026, your Phantom Option will expire and no cash payment will be made. Please make sure you allow sufficient time to submit your exercise instruction, as any requests received after 22:59pm (UK Time) will be rejected.
Please note that your Phantom Option gives you the right to receive a cash payment. It does not give you the right to buy or own Flutter shares.
Understanding tax
If you receive a cash payment from your Phantom Option, personal income tax and any applicable social security contributions will be due. Any taxes will be deducted automatically, and paid to the tax authority on your behalf, before any payment is made to you.
Q&A – Your questions answered
Phantom Sharesave is a cash-based plan that runs over the same three-year period as Sharesave, but instead of saving and buying Flutter shares at the end of the plan, you are given the opportunity to receive a cash payment. This payment is linked to the performance of Flutter's share price and is based on the difference between:
- A discounted share price set at the start of the plan (with a 25% discount applied), and
- Flutter's share price at the point you chose to take the payment, after the plan reaches maturity.
Your 2022 Phantom Sharesave reaches maturity on 1 February 2026. After that, you'll have a two-month window to confirm whether you wish to receive any cash payment you may be entitled to.
A Phantom Option is the mechanism that determines whether you receive a cash payment at the end of your Phantom Sharesave.
When your Phantom Sharesave started, an option price was set. This is a fixed share price, discounted by 25% from Flutter's market price at the time. For the 2022 Phantom Sharesave, this option price was set at €96.98 per share.
When your Phantom Sharesave reaches maturity, you'll have a two-month decision window, starting from 2 February 2026, to submit an instruction until 22:59pm (UK Time) 31 March 2026. When you submit your instruction, Flutter's share price at that time is compared with your option price, and:
- If the share price is higher, the difference will be paid to you as a cash payment
- If the share price is lower, no cash payment will be made.
No. In some countries we're unable to award actual shares, which is why we offer the Phantom Sharesave instead. While you won't receive or own Flutter shares, you still have the opportunity to benefit from any increase in our share price through a cash payment, subject to local payroll deductions.

To submit an instruction, you'll need to log in to your EquatePlus account during the two-month decision window, which starts on 2 February 2026.
Once you're logged in, you'll be guided through the steps to confirm whether you wish to take any cash payment you may be entitled to. You'll see the information you need, including the option price and the current Flutter share price (available on the overview page), before you make your choice.
After you've submitted your instruction, it can't be changed, so make sure you're happy with your decision before confirming.

What happens will depend on your reason for leaving and whether you've already taken action.
If you leave Flutter during the decision window, the rules that apply will be based on your individual circumstances. In some cases, you may still be able to take action, while in others your Phantom Option may lapse and no cash payment will be made.
Once you've left Flutter, you'll receive a notification directing you to EquatePlus, where you can view the choices available to you.

Any cash payment is based on the difference between your option price and Flutter's share price at the time you take action by submitting an instruction.
When you submit your instruction, Flutter's share price at that time is compared with your fixed option price:
- If the share price is higher, the difference will be paid to you as a cash payment

The share price used is the market price on the day you submit your instruction during the decision window.

In this situation, you won't lose anything, but you also won't receive a cash payment from your Phantom Sharesave.
You can choose when to submit your instruction during the two-month decision window, as Flutter's share price can go up or down during this time.

If a cash payment is due, it will be processed through local payroll after you've submitted your instruction.

No. Once you've confirmed your choice in EquatePlus, it can't be changed.
Before submitting an instruction, you'll be able to review the information shown in your EquatePlus account, including your option price and the current Flutter share price, so make sure you're happy with your decision before confirming.
If you receive a cash payment from your Phantom Sharesave, it will be subject to tax and social security deductions, in line with local rules.
Any cash payment due will be processed through local payroll and will reach you within 4 – 6 weeks from the date you submitted your instruction. Any required deductions will be made before the payment is made to you.
Any required tax and social security deductions will be automatically deducted before the payment is made to you, in line with local rules. You don't need to make any separate arrangements for these deductions.

Most colleagues can buy and sell Flutter shares when they wish. Some colleagues will need special permission if they are classified as a Restricted Person, which means you must request clearance before you trade. You can do this via the "Dealing Request function" on Insidertrack before placing your instruction on EquatePlus. You can only trade during a trading window.
You will have received an email from InsiderTrack (flutter@insidertrack.net) to notify you if you are a Restricted Person. You will also receive a communication from InsiderTrack notifying you when Flutter trading windows open or close.
